1. Acceptance of Terms

By accessing or using the website ajinkyatechnologies.in ("Website"), products, software, or services (collectively, "Services") provided by Ajinkya Technologies, a division of Kadle Global Pvt Ltd ("Company", "we", "our", "us"), you agree to be bound by these Terms and Conditions ("Terms").

"Services" includes all products, software, platforms, solutions, and professional services offered by Ajinkya Technologies, including but not limited to ATAMS, Ankastra, DailyGate, Vision AI, RFID solutions, ERP systems, and IoT platforms.

"Content" means all text, graphics, images, software, data, and other materials available through our Services.

"Intellectual Property" includes patents, trademarks, copyrights, trade secrets, and all other proprietary rights.

3. Services Description

Ajinkya Technologies provides enterprise IT solutions including:

RFID & Automation Solutions: Asset tracking, inventory management, and industrial automation Custom ERP Development: Tailored enterprise resource planning systems IoT Platforms: Connected device management and data analytics Software Products: ATAMS, Ankastra, DailyGate, Vision AI, and other proprietary solutions Professional Services: Consulting, implementation, training, and support GCC Services: Global Capability Center setup and management

Service specifications, features, and pricing are subject to change. We reserve the right to modify, suspend, or discontinue any Service at any time.

4. User Accounts and Registration

Account Creation: Some Services require you to create an account. You must provide accurate, complete, and current information during registration.

Account Security: You are responsible for: Maintaining the confidentiality of your account credentials All activities that occur under your account Notifying us immediately of any unauthorized use

Account Termination: We may suspend or terminate accounts that: Violate these Terms Engage in fraudulent or illegal activities Remain inactive for extended periods Pose security risks

5. Intellectual Property Rights

Our Intellectual Property: All content, software, technology, trademarks, and intellectual property associated with our Services are owned by Ajinkya Technologies or our licensors. This includes:

Source code and software Product designs and architectures Documentation and training materials Trademarks, logos, and brand elements Patents and trade secrets

License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use our Services for their intended purposes.

Restrictions: You may not: Copy, modify, or distribute our intellectual property Reverse engineer, decompile, or disassemble our software Remove any proprietary notices or labels Use our trademarks without written permission Create derivative works based on our Services

6. Client Obligations

When using our Services, you agree to:

Lawful Use: Comply with all applicable laws and regulations Not use Services for illegal or unauthorized purposes Not interfere with or disrupt the Services

Data Responsibility: Ensure you have rights to any data you provide Maintain backups of your data Comply with data protection laws

Cooperation: Provide accurate information and timely responses Make necessary resources available for implementation Report issues and security concerns promptly

Payment: Pay all fees according to agreed terms Provide accurate billing information Notify us of billing disputes within 30 days

7. Payment Terms

Pricing: Fees for Services are as specified in individual agreements, proposals, or on our Website. All prices are in Indian Rupees unless otherwise stated.

Payment Schedule: Subscription services: Billed monthly or annually in advance Project services: As per milestone schedule in the agreement Support services: Billed according to the support plan

Late Payments: Overdue amounts may be subject to: Interest at 1.5% per month Suspension of Services Collection costs and legal fees

Taxes: You are responsible for all applicable taxes, except for taxes based on our net income.

Refunds: Refund policies vary by Service type and are specified in individual agreements.

8. Confidentiality

Confidential Information: Both parties agree to protect confidential information disclosed during the business relationship, including:

Technical data and specifications Business strategies and plans Pricing and financial information Customer lists and data Proprietary processes and methods

Obligations: Use confidential information only for intended purposes Protect with reasonable security measures Limit disclosure to those with a need to know Return or destroy upon request

Exceptions: These obligations do not apply to information that is: Publicly available Independently developed Rightfully received from third parties Required to be disclosed by law

9. Data Protection and Privacy

Data Processing: Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Security: We implement appropriate technical and organizational measures to protect your data.

Data Ownership: You retain ownership of your data. We use it only as necessary to provide Services.

Compliance: We comply with applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (India) and GDPR (where applicable).

10. Service Level and Support

Service Availability: We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

Support Services: Support terms vary by Service and support plan: Standard support: Business hours assistance Premium support: Extended hours and faster response times Enterprise support: 24/7 support with dedicated resources

Incident Response: We will respond to reported issues according to their severity and your support plan.

11. Warranties and Disclaimers

Our Warranties: We warrant that: Services will substantially conform to documentation We have the right to provide the Services Services will be provided in a professional manner

Disclaimer: EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee: We do not warrant that: Services will be error-free or uninterrupted Defects will be corrected Services will meet all your requirements

12. Limitation of Liability

Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR USE OF SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Exclusions: WE SHALL NOT BE LIABLE FOR: Indirect, incidental, special, or consequential damages Loss of profits, revenue, data, or business opportunities Damages arising from third-party actions Force majeure events

Exceptions: These limitations do not apply to: Willful misconduct or gross negligence Breach of confidentiality obligations Infringement of intellectual property rights Obligations that cannot be limited by law

13. Indemnification

Your Indemnification: You agree to indemnify and hold harmless Ajinkya Technologies, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

Your use of the Services Your violation of these Terms Your violation of any rights of third parties Your data or content

Our Indemnification: We will indemnify you against claims that our Services infringe third-party intellectual property rights, subject to: Prompt notification of claims Control of defense and settlement Your reasonable cooperation

14. Term and Termination

Term: These Terms remain in effect until terminated.

Termination for Convenience: Either party may terminate with 30 days written notice, subject to any minimum commitment periods in specific agreements.

Termination for Cause: Either party may terminate immediately if the other: Materially breaches these Terms and fails to cure within 30 days Becomes insolvent or files for bankruptcy Ceases business operations

Effect of Termination: Your right to use Services ends immediately You must pay all outstanding fees We will provide reasonable assistance to export your data Confidentiality obligations survive termination

15. Dispute Resolution

Governing Law: These Terms are governed by the laws of India, without regard to conflict of law principles.

Jurisdiction: The courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes.

Arbitration: Any dispute arising from these Terms shall be resolved by binding arbitration: Conducted in Pune, Maharashtra Under the Arbitration and Conciliation Act, 1996 In the English language By a sole arbitrator mutually appointed

Informal Resolution: Before initiating formal proceedings, parties agree to attempt good-faith negotiations for at least 30 days.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any specific service agreements, constitute the entire agreement between you and Ajinkya Technologies.

Amendments: We may modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance.

Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and other provisions will remain in effect.

Waiver: Failure to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations freely.

Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control.
